End User License Agreement
The terms governing end user access to and use of Foresera products and services obtained through an authorized reseller.
This End User License Agreement ("EULA") governs your access to and use of Foresera products and services ("Products") obtained through an authorized reseller. By accessing or using any Foresera Product, you agree to be bound by this EULA.
1. Definitions
"End User" or "You": The organization or individual that has acquired Foresera Products through an authorized reseller.
"Reseller": The authorized channel partner through which you have obtained Foresera Products.
"Platform": The Foresera web-based application, APIs, and related tools used to deliver the Products.
"Processed Content": Documents, files, and data submitted to or discovered by the Foresera Platform for processing on your behalf.
"Deliverables": Remediated documents, compliance reports, VPAT conformance reports, and other outputs generated by the Platform from Processed Content.
2. License Grant
Platform Access
Subject to the terms of this EULA and the applicable agreement between your Reseller and Foresera, Foresera grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform solely for the purpose of receiving Foresera's document accessibility remediation services.
Deliverables
You own all Deliverables upon delivery and payment (through your Reseller). You may use, distribute, publish, and modify Deliverables without restriction, subject to any applicable third-party rights in the original Processed Content.
No Other Rights
This EULA does not grant you any rights to Foresera's source code, algorithms, AI models, platform architecture, or other intellectual property beyond the access rights described above and Deliverable ownership.
3. Acceptable Use
Permitted Uses
You may use the Platform and Products to:
- Submit or authorize the crawling and discovery of documents for accessibility remediation
- Review compliance reports, grades, and VPAT conformance data
- Download remediated documents and reports
- Apply human-in-the-loop corrections to remediation results
- Access dashboards and analytics related to your own documents
Prohibited Uses
You shall NOT:
- Reverse engineer, decompile, or disassemble the Platform or any component thereof
- Attempt to extract or replicate Foresera's AI models, remediation algorithms, or compliance scoring methodology
- Use the Platform for competitive intelligence — including benchmarking, comparing, or evaluating the Platform for the purpose of developing a competing product or service
- Submit documents you do not own or have authority to process — you represent that you have the right to submit all Processed Content
- Share access credentials with unauthorized individuals — each authorized user must have their own account
- Circumvent rate limits, access controls, or security measures implemented by the Platform
- Use the Platform to process content that is illegal, obscene, or designed to harm others
- Scrape, crawl, or automate access to the Platform beyond the APIs and interfaces provided by Foresera
- Use Deliverables or compliance reports to misrepresent compliance status — remediation reports reflect the state of documents at the time of processing and do not constitute legal compliance certification

4. Data Handling
Your Data Ownership
You retain all rights, title, and interest in Processed Content. Foresera processes your data solely to provide the contracted services.
How Foresera Uses Your Data
- Service delivery — Documents are processed through Foresera's AI-powered remediation pipeline to produce Deliverables
- Quality assurance — Documents may be reviewed by Foresera personnel for quality control of remediation results (limited to documents flagged for review)
- Platform improvement — Foresera retains anonymized remediation patterns (not document content) to improve accuracy. For example: "heading was incorrectly tagged as paragraph — corrected." No client-identifiable document content is retained.
What Foresera Does NOT Do
- Foresera does not sell, rent, or share your data with third parties for marketing or advertising
- Foresera does not use your document content to train third-party AI models
- Foresera does not access your data for any purpose other than providing and improving the contracted services
Data Security
Your data is processed and stored with encryption in transit (TLS 1.2+) and at rest (AES-256), US-only data residency (Google Cloud Platform), and per-client data isolation. See our Security Policy for details.
Data Retention & Deletion
Data retention and deletion are governed by the applicable Master Service Agreement. Upon termination, your data is returned or securely deleted per the agreement terms. See our Privacy Policy for details.
5. Intellectual Property
The Platform, including all software, AI models, algorithms, compliance scoring methods, user interfaces, documentation, and related intellectual property, is and remains the sole property of Foresera, LLC. Nothing in this EULA transfers any ownership interest in Foresera's intellectual property to you.
If you provide suggestions, ideas, or feedback regarding the Platform, Foresera may use such feedback without restriction or obligation. You grant Foresera a perpetual, irrevocable, royalty-free license to use feedback for any purpose.
6. Disclaimers
No Legal Compliance Guarantee
Foresera's Products are designed to improve document accessibility compliance. Foresera does not guarantee that you will achieve full regulatory compliance with ADA Title II, WCAG 2.1, Section 508, or any other standard. Compliance depends on factors beyond document remediation, including website HTML accessibility, multimedia accessibility, organizational policies, and ongoing content management practices.
Compliance Grades
Foresera's letter-grade compliance scores are proprietary assessments based on Foresera's evaluation methodology. They are not legal determinations and do not constitute certification by any regulatory body.
As-Is
EXCEPT AS EXPRESSLY SET FORTH IN THE APPLICABLE RESELLER AGREEMENT OR MASTER SERVICE AGREEMENT, THE PLATFORM AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." FORESERA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. Limitation of Liability
Foresera's total aggregate liability to you under this EULA shall not exceed the total fees paid by you (through your Reseller) in the twelve (12) months preceding the claim.
In no event shall Foresera be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, regardless of the form of action or theory of liability.
8. Term & Termination
This EULA is effective as long as you have an active license to use Foresera Products through an authorized Reseller. It terminates automatically when:
- Your Reseller's agreement with Foresera is terminated
- Your license or subscription expires without renewal
- You materially breach this EULA and fail to cure within thirty (30) days of written notice
Upon termination, your access to the Platform is revoked. You retain ownership of all Deliverables received prior to termination. Data return and deletion are handled per the applicable Master Service Agreement.
9. General
Governing Law: This EULA is governed by the laws of the State of Texas.
Amendments: Foresera may update this EULA with thirty (30) days' written notice. Continued use of the Platform after the notice period constitutes acceptance of the updated EULA.
Severability: If any provision is held invalid, the remainder continues in full force.
